Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and MerchantFlow ("we," "our," or "us") governing your use of the MerchantFlow platform and services (the "Service") available at merchantflow.ai.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Service Description

MerchantFlow provides a SaaS platform that enables ecommerce merchants to:

  • Connect Google Ads, Google Analytics, Shopify, WooCommerce, Meta Ads, and other platforms
  • Analyze product-level profitability across advertising channels
  • View unified analytics dashboards
  • Track ROAS (Return on Ad Spend) and profit margins
  • Export performance reports

The Service is provided on a subscription basis with tiered pricing plans.

3. Account Registration

3.1 Eligibility

You must:

  • Be at least 18 years of age
  • Have legal authority to enter into binding contracts
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

3.2 Account Security

You are responsible for:

  • All activities under your account
  • Maintaining confidentiality of passwords
  • Notifying us immediately of unauthorized access
  • Using strong passwords and enabling two-factor authentication

3.3 Account Information

You must keep your email address and billing information current. We may suspend or terminate accounts with invalid contact information.

4. Subscription and Billing

4.1 Pricing Plans

MerchantFlow offers:

  • Monthly Plan: $149/month
  • Annual Plan: $1,490/year ($125/month equivalent)
  • Trial Period: 7 days free trial (no credit card required)

4.2 Payment Terms

  • Payments processed securely via Stripe
  • Subscriptions auto-renew unless canceled
  • Billing occurs on subscription anniversary date
  • All fees are non-refundable except as required by law
  • Prices subject to change with 30 days notice

4.3 Failed Payments

If payment fails, we will attempt to charge your payment method up to 3 times. After failed payments:

  • Account may be suspended after 7 days
  • Account may be terminated after 30 days
  • Data may be deleted after termination

4.4 Cancellation

You may cancel your subscription at any time via Settings → Billing. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

5. Acceptable Use

5.1 Permitted Use

You may use MerchantFlow to:

  • Analyze your own ecommerce business data
  • Connect platforms you own or have permission to access
  • Generate reports for internal business purposes
  • Export your data

5.2 Prohibited Activities

You may NOT:

  • Connect accounts or platforms you do not own or have authorization to access
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Service to violate any laws or regulations
  • Resell or sublicense access to the Service
  • Use automated tools to scrape or extract data beyond normal usage
  • Interfere with or disrupt the Service or servers/networks connected to it
  • Upload malicious code, viruses, or harmful content
  • Impersonate others or misrepresent your affiliation
  • Share account credentials with unauthorized users

5.3 Integration Compliance

You must comply with the terms of service of all connected platforms (Google Ads, Shopify, Meta, etc.). Violations may result in account suspension.

6. Data and Privacy

6.1 Your Data

You retain all rights to your business data. We do not claim ownership of your data. See our Privacy Policy for details on data handling.

6.2 Data Usage

We use your data solely to:

  • Provide the Service
  • Calculate analytics and profitability metrics
  • Improve Service features and performance
  • Provide customer support

We will never sell your data or use it for advertising purposes.

6.3 Data Security

We implement industry-standard security measures including encryption, access controls, and regular audits. However, no system is 100% secure. You use the Service at your own risk.

6.4 Data Deletion

Upon account termination, your data will be deleted within 30 days (except as required by law for tax, compliance, or legal purposes).

7. Intellectual Property

7.1 Our Rights

MerchantFlow owns all rights, title, and interest in the Service, including:

  • Software, code, and algorithms
  • User interface and design
  • Trademarks, logos, and branding
  • Documentation and content

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription term.

7.3 Feedback

If you provide feedback, suggestions, or ideas, we may use them without compensation or attribution.

8. Service Availability

8.1 Uptime

We strive for 99.5% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

8.2 Service Changes

We may:

  • Modify features or functionality
  • Add or remove integrations
  • Update pricing with 30 days notice
  • Discontinue the Service with 90 days notice

8.3 Third-Party Services

The Service depends on third-party APIs (Google, Shopify, Meta). We are not responsible for outages or changes to these external services.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERCHANTFLOW SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Third-party actions or integrations

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Indemnification

You agree to indemnify and hold harmless MerchantFlow from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your use of the Service
  • Your violation of third-party rights
  • Unauthorized access to connected platforms

10. Termination

10.1 By You

You may terminate your account at any time via Settings → Delete Account or by contacting support.

10.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails
  • You engage in fraudulent activity
  • Required by law or regulatory authorities
  • You abuse the Service or harm other users

10.3 Effect of Termination

Upon termination:

  • Your access will be immediately revoked
  • Data will be deleted within 30 days
  • No refunds for unused subscription time
  • You must cease use of the Service

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, contact us at [email protected] to attempt informal resolution.

11.2 Governing Law

These Terms are governed by the laws of South Australia, Australia, without regard to conflict of law principles.

11.3 Dispute Resolution

Any disputes shall be resolved through the courts of South Australia or through mediation/arbitration as mutually agreed. Both parties submit to the exclusive jurisdiction of the courts of South Australia.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MerchantFlow.

12.2 Modifications

We may update these Terms at any time. Material changes will be communicated via email or dashboard notification. Continued use after changes constitutes acceptance.

12.3 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

12.4 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

12.5 Assignment

You may not assign or transfer these Terms. We may assign our rights without restriction.

12.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, pandemics, war, government actions, third-party service outages).
